Payment for Products & Services

1. Payments will be processed in United States Dollars for businesses in the United States and all other countries outside of Canada.
2. Businesses within Canada will be charged in Canadian Dollars.
3. Some services, such as domain name registration may be charged only in United States Dollars in certain circumstances, these are indicated within that site area at the time of purchase. itristan.com is not responsible for any fees, charges, exchange rates or additional charges levied by individual financial institutions or Credit Card companies.
4. Your initial invoice may include:
1. a Setup Fee where applicable
2. a One Time Fee where applicable
3. a monthly recurring fee
4. Prepaid Service(s) fee where applicable
5. The monthly recurring fee shall be prorated from the Service Commencement Date to the last day of the calendar month (subject to any free time as agreed between you and iTristan Group). We may require you to make a payment ahead of the Service Commencement Date (an "Initial Installment"). We will offset such Initial Installment against the initial invoice(s) that are issued to your account. Following Service Commencement Date, the monthly recurring fee shall be billed in advance at the beginning of each calendar month. "Utility Fee”, which refers to those fees that apply to Services priced on usage, such as Virtual Machines, Virtual Environments, mail services and Software as a Service (SaaS), bandwidth charges and overages, are to be billed monthly in arrears. If your term is prepaid for the whole or any part of the term, such prepay amount is exclusive of all Utility Fees. The term Utility Fees may be used interchangeably with the term “Non-Recurring Fees”.
5. Fees are due within five (5) days of time of issue of the invoice; or the due date as noted on the invoice. If you have arranged for payment by credit card stored to your account, subscription payment or direct debit payment, iTristan Group may charge your card or account within 3 days of the invoice due date.
   • "Abandoned" project support services may be suspended at the discretion of iTristan Group. This may include data services, registration, hosted services and related ongoing digital support systems. You agree that if your projects and related digital support services are reinstated after Abandonment, you will pay a reasonable reinstatement fee of $150 or more.
   • "Abandoned" projects or services code, layout or creative may be removed and deleted from our archives at any time; recreating such deleted records would constitute a complete new project initiative with all costs incurred by the Abandoning party.
1. charge interest on overdue amounts at 1.5% per month, interest accrued over multiple months are applied to the balance thereby compounding;
2. suspend all Services, and services provided pursuant to any unrelated agreement, if you do not pay the overdue amount within four (4) Business Days of our written notice to your billing contact. You agree that if your Services are reinstated after a suspension for non-payment, you will pay a reasonable reinstatement fee of $35 or more.
3. Projects or Services that have been left incomplete without communication or responses to iTristan Group efforts to communicate may be considered "Abandoned"
4. In the event iTristan Group brings a legal action to collect due to late payment of valid invoices, you must also pay iTristan Group's costs of collection, including reasonable legal fees, expenses and court costs.
5. If your payment is returned for insufficient funds, we may charge you an administration fee up to the maximum amount permitted by law.
6. All payments will be made in the currency in the Services Description at the exchange rate at the date of the invoice as described in item 1 in this section.
7. Invoices that are not disputed within thirty (30) days of invoice date are conclusively deemed accurate.
1. If any amount is overdue by more than thirty (30) days, iTristan Group may 

   1. Suspend Services: Temporarily halt the provision of services or access to products until the overdue amount is fully paid. This includes suspending access to online platforms, support services, and any ongoing projects or services being rendered.

   2. Late Payment Fees: Apply a late payment fee of [insert percentage] % per month on the outstanding balance to compensate for the delay in payment and additional administrative efforts required to manage the overdue account.

   3. Payment Plan Negotiation: Offer the option to negotiate a payment plan for the outstanding balance. This is aimed at providing a structured way for the client to settle their dues without immediately resorting to service suspension or legal action. The terms of the payment plan will be subject to iTristan Group's approval and may require a down payment or the establishment of a direct debit arrangement.

   4. Communication and Reminders: Initiate more frequent communication and reminders about the overdue payment. This may include phone calls, emails, and letters, escalating in seriousness if the payment remains unsettled.

   5. Legal Action: As a last resort, iTristan Group reserves the right to initiate legal proceedings to recover the overdue amount. This may involve engaging a debt collection agency or taking formal legal action. Any costs associated with these recovery efforts, including legal fees, will be the responsibility of the client.

   6. Interest on Overdue Amounts: Charge interest on the overdue amount at a rate specified by applicable laws or at a rate that has been previously agreed upon in the service agreement or contract.

   7. Account Review and Credit Limit Adjustment: Conduct a review of the client's account and payment history, which may result in adjustments to credit terms, including the reduction of credit limits or the requirement for prepayments for future services.

   8. Reporting to Credit Agencies: Report the overdue amount to credit rating agencies after a certain period of non-payment, which may affect the client’s credit rating.

We encourage clients experiencing financial difficulties to contact us as early as possible to discuss alternative arrangements. Our goal is to maintain a positive and professional relationship with our clients while ensuring the sustainability of our services.
